SEALED BID OFFERING
The Board for Lease of University Lands is offering 9,778.40 contiguous gross/net acres for lease in northeastern Andrews County and southeastern Gaines County, Texas. The Acreage lies in the northwest portion of the Midland Basin, immediately east of the Central Basin Platform. Potential exists for stacked reservoirs in the area.
LEASE TERMS AND CONDITIONS
Tract 1, comprising seventeen (17) parcels of land, as described below, and containing 9,778.40 acres, will be bid upon as a drilling and development unit but will be leased as seventeen (17) separate oil and gas leases. Click here to view a sample Lease Form. The minimum bonus consideration that will be accepted for Tract 1 will be $10,500,000, for an average of $1,073.80/net acre. The minimum bonus consideration paid includes the prepaid delay rental and the legally required 1.5% special sale fee; One year primary term; Royalty rate of 25%; A well shall be spudded on one of the leases on or before January 31, 2017, and said well shall be drilled as a horizontal well to a depth sufficient to test the Lower Spraberry Formation. Upon the awarding of the oil and gas leases to the successful bidder, University Lands will form a Drilling and Development Unit covering tracts listed below that provides for a four (4) year term upon LesseeÃâs submission of the required ÃâApplication to Pool/Unitize Leases,Ãâ associated documents, and the required Application Fee, prior to generating the Agreement. Beginning January 1, 2018, Lessee shall drill a minimum of four (4) horizontal wells during the calendar year. Beginning January 1, 2019, Lessee shall drill a minimum of twelve (12) horizontal wells during the calendar year. Beginning January 1, 2020, Lessee shall drill a minimum of twelve (12) horizontal wells during the calendar year.
As part of the Drilling and Development Unit Agreement (the DDU) terms, University Lands will consider negotiating adjustments to the 2018, 2019 and 2020 continuous drilling obligations within the DDU if the posted price of West Texas Intermediate (WTI) averages less than $55.00/BO during a six (6) month calendar period as the term of the Agreement continues.
SUMMARY
â⺠| The University Lands is offering a total 5 year lease term for the successful bidder that will cover all the leases included in the Drilling and Development Unit Agreement (DDU). |
â⺠| The Drilling and Development Unit Agreement will be negotiated with the successful bidder after the final funding for this sale is received. The terms and conditions listed for the sale will apply to the DDU. (Please contact University Lands for a draft template DDU.) |
â⺠| The bidder will be required to drill the horizontal well to test the Lower Spraberry Formation on or before January 31, 2017. If prices remain at current level, the University Lands will negotiate with successful bidder regarding the future drilling schedule. |
â⺠| Failure to honor the agreed to drilling obligations will result in the acreage contracting to the productive acreage as per the terms of the DDU. |

SUCCESSFUL BIDDER NOTIFICATION
Upon the bid period closing at 10:00 a.m. CST on February 16, 2016, the following steps will occur:
â⺠| Bids will be reviewed by University Lands with the accepted bid presented to the Board for approval. | |
â⺠| Board approves successful bidder, at which time EnergyNet will notify the successful bidder by email with an invoice for the sale and closing instructions. | |
â⺠| Funds will be collected and when received by University Lands, the individual oil and gas leases will be completed (process expected to take about 2 weeks). | |
â⺠| Successful bidder may submit an Application for Pooling to University Lands. Form available from University Lands website. | |
â⺠| The University Lands will then generate the Drilling and Development Unit Agreement (DDU) with the successful bidder. | |
à| ââÅ | The acreage will have the one year primary term for the leases, and the DDU allows for a 4 year term. After this 5 year period, the unit terminates as to unproductive acreage. |
